Notary Capitol LLC ("Notary Capitol," "we," "us," or "our") is a notary signing service company based in Kearny, New Jersey. We connect businesses with certified notary signing agents across all 50 states for real estate closings, legal document signings, remote online notarizations, and related services.
Notary Capitol provides notary signing coordination services. We act as an intermediary between our business clients and independent third-party notary signing agents. Our services include but are not limited to:
To place orders, you must create a business account. You agree to provide accurate and complete information during registration and to keep your account information current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access to your account.
Orders are submitted through our client portal at orders.notarycapitol.com. All orders are subject to availability of certified notaries in the requested area. A Notary Capitol team member will confirm your order within 5–10 minutes during business hours. Order confirmation does not guarantee the exact notary assigned; we reserve the right to assign the most qualified available notary for your signing.
All invoices are due upon receipt. We accept payment through our secure online payment portal at books.notarycapitol.com/portal/notarycapitol. Accepted payment methods include major credit cards and other methods made available through our payment processor.
Accounts with outstanding balances may be suspended or terminated at our discretion. We reserve the right to charge interest on overdue balances at a rate of 1.5% per month or the maximum rate permitted by New Jersey law, whichever is less.
We understand that circumstances change. However, because our notaries are dispatched and scheduled specifically for your order, cancellations incur fees as follows:
Cancellation fees will be invoiced and are due upon receipt. We reserve the right to assess cancellation fees at our discretion based on the specific circumstances of each order.
If a signing error is determined to be caused by a notary assigned through Notary Capitol or by an error in our coordination, we will make every commercially reasonable effort to correct the error at no additional charge to the client. Our liability for such errors is capped at $500 per signing. This cap represents our maximum financial obligation for errors attributable to our assigned notary or coordination team, regardless of the nature or severity of the error.
If a re-signing is required due to errors attributable to the client — including but not limited to incorrect documents provided, missing pages, wrong signing instructions, signer unavailability, or signer refusal — the client will be charged a full re-signing fee at our standard rates. This fee is due upon receipt and must be paid before the re-signing is scheduled.
Notary Capitol acts as a coordinator and intermediary between clients and independent third-party notary signing agents. All notaries in our network are independent contractors and are not employees or agents of Notary Capitol LLC.
Notary Capitol LLC is not liable for errors, omissions, negligence, misconduct, or any other acts or failures to act by third-party notary signing agents. Each notary is independently licensed, bonded, and insured, and bears individual responsibility for their professional conduct.
While we maintain quality standards and vet all notaries in our network, clients acknowledge and agree that Notary Capitol cannot guarantee the individual performance of any third-party notary and shall not be held liable for damages arising from a notary's independent actions or errors beyond the remedies described in Section 7 of these Terms.
Notary Capitol maintains Errors & Omissions (E&O) insurance coverage of $1,000,000 per occurrence. This coverage applies to errors attributable to our coordination services as described in Section 7a. This insurance does not cover errors caused by independent notary signing agents acting outside the scope of our coordination, errors caused by client-provided documents or instructions, or claims arising from third-party notary misconduct.
We believe most disputes can be resolved through open communication. If you have a concern or dispute regarding our services, please follow this process:
Notwithstanding the above, Notary Capitol reserves the right to pursue legal action for unpaid invoices without first engaging in the dispute resolution process described above.
To the maximum extent permitted by applicable law, Notary Capitol LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or reputational harm, arising out of or related to our services, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising out of or related to our services shall not exceed the amount paid by you to Notary Capitol for the specific order giving rise to the claim, or $500, whichever is greater.
You agree to indemnify, defend, and hold harmless Notary Capitol LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of our services, your violation of these Terms, or your violation of any rights of a third party.
Both parties agree to maintain the confidentiality of all non-public information shared in connection with orders placed through Notary Capitol. Notary Capitol will not disclose client order information to third parties except as necessary to fulfill the order, comply with legal requirements, or as described in our Privacy Policy.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Hudson County, New Jersey.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website with a new effective date. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Notary Capitol LLC regarding your use of our services and supersede all prior agreements and understandings.
